Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of services provided by Graphwise Inc (“Graphwise”, “we”, “us”, or “our”). By engaging Graphwise, you agree to these Terms.
1. Services
Graphwise provides professional services focused on the design, development, and operation of AI systems. Specific deliverables, timelines, and fees will be defined in a statement of work, order form, or proposal executed by both parties (“SOW”).
2. Client Responsibilities
You agree to supply timely access to stakeholders, systems, data, and decision-makers required for Graphwise to perform the services. You are responsible for ensuring that any data provided complies with applicable laws and contractual obligations.
3. Fees & Payment
Fees are specified in the SOW or applicable checkout. Unless otherwise stated, invoices are due within fifteen (15) days of receipt. Late payments may result in temporary suspension of services.
4. Confidentiality
Each party will protect the other’s confidential information with reasonable care and use it only for purposes of the engagement. Confidentiality obligations survive termination of the engagement.
5. Intellectual Property
Unless otherwise agreed in writing, pre-existing materials remain the property of their respective parties. Subject to full payment, Graphwise assigns to you all rights in the deliverables created specifically for you, excluding reusable tooling and know-how.
6. Disclaimers
Graphwise provides services on an “as-is” basis and disclaims all warranties not expressly stated in the SOW. We do not guarantee specific business outcomes.
7. Limitation of Liability
To the maximum extent permitted by law, each party’s total liability is limited to the fees paid or payable for the services giving rise to the claim. Neither party is liable for indirect, incidental, or consequential damages.
8. Termination
Either party may terminate the engagement upon written notice if the other materially breaches these Terms and fails to cure within ten (10) days. Upon termination, you will pay for work performed through the effective date.
9. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
